Welcome to Compass. These Terms of Use ("Terms") govern your access to and use of Compass, including our desktop application, website, and AI-powered database interaction services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, downloading our desktop application, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.
2. Eligibility
You must be at least 18 years old to use our Services. By using Compass, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
3. Account Registration and Security
To access certain features of our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials and accept responsibility for all activities under your account
- Immediately notify us of any unauthorized use of your account or security breach
You are responsible for all activities that occur under your account, whether authorized by you or not.
4. Subscription and Payment
Compass offers subscription-based services with different tiers (Starter, Pro, and Advanced). By subscribing to a paid plan:
- You authorize us to charge the payment method associated with your account on a recurring basis
- Subscriptions automatically renew unless canceled before the renewal date
- You are responsible for all charges incurred under your account, including applicable taxes
- If you are not satisfied with your subscription, you may request a full refund within 14 days of your purchase date, no questions asked. Refunds are processed by Paddle, our merchant of record. For full details, see our Refund Policy
- We reserve the right to change our pricing with 30 days' notice to active subscribers
Payments are processed securely through Paddle, our third-party payment processor.
5. Use of Services
You may use our Services only for lawful purposes. You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Services to access databases you do not have permission to access
- Attempt to interfere with, compromise, or reverse engineer any aspect of the Services
- Use automated systems (bots, scrapers) to access the Services without our written permission
- Transmit malicious code, viruses, or harmful data through the Services
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Share your account credentials or subscription access with unauthorized users
- Use the Services to compete with us or build a similar product
6. Database Connection and Security
Compass allows you to connect to PostgreSQL databases. You acknowledge and agree that:
- You are solely responsible for ensuring you have proper authorization to access any database you connect through Compass
- Database credentials are stored locally on your device using OS-native secure storage
- We do not store, access, or have visibility into your database credentials or data
- You are responsible for maintaining appropriate security measures for your databases
- We are not liable for any unauthorized access to your databases or data loss
7. AI-Generated Content
Compass uses artificial intelligence (Claude Sonnet 4.5 by Anthropic) to generate database queries and responses. You acknowledge that:
- AI-generated queries may contain errors or produce unexpected results
- You should review all AI-generated queries before executing them on production databases
- We are not responsible for any data loss, corruption, or damage resulting from AI-generated queries
- AI responses are provided "as is" without warranties of accuracy or completeness
8. Intellectual Property
All content, features, and functionality of Compass, including but not limited to text, graphics, logos, software, and design, are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.
9. Privacy and Data Collection
Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. We collect minimal data necessary to provide and improve our Services, including:
- Account information (email, name)
- Usage analytics and conversation metadata
- Payment information (processed by Paddle)
We do not collect, store, or access your database credentials or the contents of your databases.
10. Disclaimers and Limitations of Liability
The Services are provided "as is" and "as available."
We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:
- The Services will be uninterrupted, secure, or error-free
- The results obtained from using the Services will be accurate or reliable
- Any errors in the Services will be corrected
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses, arising from your use of or inability to use the Services.
11. Indemnification
You agree to indemnify, defend, and hold harmless Compass and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
12. Termination
We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination:
- Your right to use the Services will immediately cease
- We may delete your account data in accordance with our data retention policies
- You remain liable for all charges incurred prior to termination
13. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on our website. Your continued use of the Services after such notification constitutes acceptance of the modified Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.
15. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Compass.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
- Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment: You may not assign these Terms without our written consent. We may assign these Terms without restriction.
